1. Agreement to Terms
Welcome to MCP Chats, your intelligent automation platform for complex business processes. These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Customer", "you") and DATAPULS AI SERVIVES PVT LTD ("MCP Chats", "Company", "we", "us", "our") governing your access to and use of our AI agent solutions, platform, services, and all related features.
By creating an account, accessing our website, or using any of our services including but not limited to Shopify WhatsApp AI Agents, Microsoft Outlook Agents, customer support automation, workflow optimization tools, and business process management solutions, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you must discontinue use of our services immediately.
If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and "you" and "your" will refer to such entity.
2. Description of Services
2.1 Platform Overview
MCP Chats provides intelligent automation solutions and AI agents for complex business processes, including:
- Shopify WhatsApp AI Agent: Automated customer service, order management, and sales assistance through WhatsApp Business API
- Microsoft Outlook Agent: Email automation, calendar management, task scheduling, and intelligent inbox organization
- Customer Support Automation: Multi-channel support agents for chat, email, and messaging platforms
- Workflow Optimization: Custom AI agents for business process automation, data processing, and task management
- Integration Platform: Connections with third-party services including Shopify, Microsoft 365, WhatsApp Business API, Slack, CRM systems, and custom APIs
- Analytics and Insights: Performance monitoring, conversation analytics, and business intelligence dashboards
- Custom Agent Development: Tailored AI solutions for specific business requirements
2.2 Service Availability
We strive to provide reliable and continuous service availability. However:
- Services may be temporarily unavailable due to maintenance, updates, or technical issues
- We schedule maintenance during low-usage periods when possible and provide advance notice
- Emergency maintenance may be performed without prior notice
- Third-party service disruptions (e.g., WhatsApp API, Shopify, Microsoft) may affect functionality
- Service Level Agreements (SLAs) are specified in your subscription plan
2.3 Service Modifications
We reserve the right to:
- Modify, enhance, or discontinue features with reasonable notice
- Add new features and services (which may be subject to additional fees)
- Update AI models and algorithms to improve performance
- Change system requirements or supported platforms
- Implement security updates and patches without notice
3. Account Registration and Eligibility
3.1 Eligibility Requirements
To use MCP Chats services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate, complete, and current registration information
- Have authority to bind your organization if registering on behalf of a business
- Comply with all applicable laws and regulations in your jurisdiction
- Not be prohibited from using our services under applicable laws or sanctions
3.2 Account Creation
When creating an account, you must:
- Provide accurate information including name, email address, company details, and billing information
- Create a secure password meeting our security requirements
- Verify your email address and complete any required authentication steps
- Accept these Terms and our Privacy Policy
- Not create multiple accounts to circumvent service limitations or pricing
3.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account, including actions by team members
- Implementing appropriate security measures (strong passwords, multi-factor authentication)
- Promptly notifying us of any unauthorized access or security breaches at security@mcpchats.com
- Providing reasonable assistance in investigating security incidents
- Not sharing your account credentials with unauthorized individuals
3.4 Account Types
We offer different account types:
- Individual Accounts: For personal or single-user business use
- Team Accounts: For organizations with multiple users and collaborative features
- Enterprise Accounts: For large organizations with custom requirements and dedicated support
- Developer Accounts: For API access and custom integrations
Each account type has specific features, limitations, and pricing as outlined in your subscription plan.
4. Acceptable Use Policy
4.1 Permitted Uses
You may use MCP Chats services to:
- Automate legitimate business processes and customer communications
- Manage customer interactions through AI agents
- Integrate with authorized third-party platforms and services
- Analyze business data and generate insights
- Develop custom automation workflows within platform capabilities
- Train AI agents on your business-specific data (with proper consent)
4.2 Prohibited Uses
You may not use our services to:
- Violate any applicable laws, regulations, or third-party rights
- Send spam, unsolicited messages, or engage in mass marketing without proper consent
- Transmit malware, viruses, or malicious code
- Engage in fraudulent activities, phishing, or identity theft
- Harass, threaten, or abuse others
- Infringe intellectual property rights
- Impersonate any person or entity
- Interfere with or disrupt our services or servers
- Attempt unauthorized access to our systems or other users' accounts
- Reverse engineer, decompile, or disassemble our software
- Use our services to develop competing products or services
- Scrape, mine, or extract data using automated means without authorization
- Violate platform policies of integrated services (WhatsApp, Shopify, Microsoft, etc.)
- Process illegal content or engage in unlawful business activities
- Use AI agents to generate harmful, discriminatory, or offensive content
- Circumvent usage limitations, rate limits, or security measures
4.3 Third-Party Platform Compliance
When using integrations, you must comply with:
- WhatsApp Business API: WhatsApp Commerce Policy, Business Policy, and Terms of Service
- Shopify: Shopify Terms of Service, API Terms, and Partner Program Agreement
- Microsoft 365: Microsoft Services Agreement and Product Terms
- Other Platforms: Respective terms of service, API usage policies, and acceptable use policies
Violations of third-party terms may result in service suspension or termination.
4.4 Enforcement
We reserve the right to:
- Investigate suspected violations of these Terms
- Remove or disable access to content violating our policies
- Suspend or terminate accounts engaged in prohibited activities
- Report illegal activities to law enforcement authorities
- Take legal action to protect our rights and interests
- Implement automated monitoring and filtering systems
5. Intellectual Property Rights
5.1 MCP Chats Intellectual Property
All intellectual property rights in our services remain the exclusive property of MCP Chats and our licensors, including:
- Software code, algorithms, and architecture
- AI models, training methodologies, and machine learning techniques
- User interfaces, designs, and visual elements
- Trademarks, logos, and brand assets
- Documentation, guides, and educational content
- Patents, trade secrets, and proprietary processes
You are granted a limited, non-exclusive, non-transferable, revocable license to use our services in accordance with these Terms.
5.2 Customer Content and Data
You retain all ownership rights to:
- Content you upload, create, or transmit through our services
- Customer data, business information, and communications processed by AI agents
- Custom configurations, workflows, and integrations you develop
5.3 License Grant to MCP Chats
By using our services, you grant MCP Chats a limited license to:
- Store, process, and transmit your content to provide services
- Use anonymized and aggregated data to improve AI models and platform functionality
- Display your content to authorized users within your organization
- Create backup copies for disaster recovery and business continuity
- Process data as required by law or legal process
This license terminates when you delete content or close your account, subject to backup retention periods.
5.4 AI-Generated Content
Content generated by our AI agents:
- Is provided to you as part of our services
- May be based on publicly available data, training models, and your inputs
- Is provided "as is" without warranties of accuracy or completeness
- Should be reviewed and verified before use in critical applications
- Remains subject to these Terms and our Privacy Policy
5.5 Feedback and Suggestions
If you provide feedback, suggestions, or ideas about our services:
- We may use them without compensation or attribution
- You grant us a perpetual, worldwide, royalty-free license to implement suggestions
- We are not obligated to implement any feedback
- You waive any intellectual property claims related to feedback we implement
5.6 Trademark Usage
You may not use MCP Chats trademarks, logos, or brand assets without prior written permission except as necessary to identify MCP Chats as your service provider in factual statements.
6. Fees, Billing, and Payment
6.1 Subscription Plans
MCP Chats offers various subscription plans with different features, usage limits, and pricing:
- Free Trial: Limited-time access to evaluate services
- Starter Plan: Basic features for small businesses and individuals
- Professional Plan: Advanced features and higher usage limits
- Business Plan: Team collaboration and enterprise features
- Enterprise Plan: Custom solutions with dedicated support and SLAs

6.2 Billing Terms
- Fees are billed in advance on a monthly or annual basis as selected
- Annual subscriptions may receive discounted pricing
- Payment is due immediately upon subscription or renewal
- All fees are non-refundable except as required by law or specified in these Terms
- Prices are subject to change with 30 days' notice
- Usage-based charges (e.g., API calls, message volume) are billed monthly in arrears
6.3 Payment Methods
We accept payment via:
- Major credit cards (Visa, MasterCard, American Express, Discover)
- Debit cards
- ACH/bank transfers (for enterprise accounts)
- Other payment methods as made available
6.4 Automatic Renewal
Subscriptions automatically renew unless:
- You cancel before the renewal date
- Your payment method is declined
- We terminate your account for violation of these Terms
6.5 Failed Payments
If payment fails:
- We will attempt to charge your payment method up to three times
- You will receive email notifications of failed payments
- Services may be suspended after 7 days of non-payment
- Account may be terminated after 30 days of non-payment
- You remain responsible for unpaid fees plus reasonable collection costs
6.6 Taxes
Fees are exclusive of taxes. You are responsible for all applicable taxes (sales tax, VAT, GST, etc.) except taxes based on our net income. We will charge applicable taxes if required by law.
6.7 Refund Policy
Refunds are generally not provided except:
- Within 30 days of initial subscription (first-time customers only)
- For billing errors or duplicate charges
- As required by applicable consumer protection laws
- At our sole discretion for exceptional circumstances
7. Third-Party Integrations
7.1 Authorization and Access
To use third-party integrations, you must:
- Provide valid credentials and authorization tokens
- Have necessary permissions and rights to connect accounts
- Comply with third-party terms of service
- Maintain active accounts with third-party services
- Keep integration credentials current and secure
7.2 Data Access
By connecting third-party services, you authorize MCP Chats to:
- Access data from connected platforms (e.g., Shopify orders, Outlook emails)
- Send messages and perform actions on your behalf
- Store integration credentials securely
- Process data as necessary to provide services
7.3 Third-Party Availability
- We are not responsible for third-party service disruptions
- Integration functionality depends on third-party APIs and policies
- Third parties may change APIs, features, or policies without notice
- We will make reasonable efforts to maintain compatibility
- Some integrations may require additional fees from third parties
7.4 API Usage Limits
Third-party platforms impose API rate limits and usage restrictions:
- WhatsApp Business API: Message templates, 24-hour windows, rate limits
- Shopify API: Request limits based on plan tier
- Microsoft Graph API: Throttling and usage policies
- Other platforms: Respective API usage policies
Exceeding limits may result in temporary service disruption.
8. Data Processing and Privacy
8.1 Privacy Policy
Our Privacy Policy governs data collection, use, and protection. By using our services, you agree to our Privacy Policy available at https://mcpchats.com/privacy-policy.
8.2 Data Processing Agreement
For customers subject to GDPR, CCPA, or other data protection regulations, we provide a Data Processing Agreement (DPA) upon request. Contact legal@mcpchats.com for DPA execution.
8.3 Customer Responsibilities
You are responsible for:
- Obtaining necessary consents for data processing
- Complying with privacy laws applicable to your business
- Providing privacy notices to your customers
- Handling data subject requests (access, deletion, etc.)
- Ensuring lawful basis for processing personal data through our services
8.4 Data Security
We implement appropriate technical and organizational measures to protect your data as detailed in our Privacy Policy. However, you acknowledge that no system is completely secure, and you use our services at your own risk.
9. AI Agents and Automated Processing
9.1 AI Agent Behavior
Our AI agents:
- Operate based on machine learning models and training data
- May produce unexpected or incorrect outputs
- Improve over time through learning and updates
- Should be monitored and supervised for critical applications
- May be customized within platform capabilities
9.2 Customer Responsibility
When using AI agents, you are responsible for:
- Reviewing and approving AI-generated content before use
- Monitoring AI agent interactions for quality and compliance
- Configuring appropriate safeguards and limitations
- Training AI agents with appropriate data
- Ensuring AI outputs comply with applicable laws and regulations
- Human oversight of automated decisions affecting individuals
9.3 No Warranties for AI Outputs
We do not warrant that AI agents will:
- Produce accurate, complete, or error-free outputs
- Make correct decisions in all circumstances
- Understand context perfectly
- Comply with all industry-specific regulations without configuration
- Replace human judgment in critical applications
9.4 Prohibited AI Uses
You may not use our AI agents to:
- Make decisions with legal or similarly significant effects without human review
- Generate harmful, illegal, or discriminatory content
- Impersonate humans without disclosure
- Violate privacy rights or process data unlawfully
- Manipulate or deceive individuals
10. Warranties and Disclaimers
10.1 Service "As Is"
MCP CHATS SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
10.2 No Warranty of Results
We do not warrant that:
- Services will be uninterrupted, timely, secure, or error-free
- Results obtained from services will be accurate or reliable
- Quality of services will meet your requirements
- Defects will be corrected
- Services will be compatible with all systems or software
- Data loss or corruption will not occur
10.3 Third-Party Services
We disclaim all warranties related to third-party services, integrations, and platforms. Your use of third-party services is governed by their respective terms.
10.4 Regulatory Compliance
While we design services to facilitate compliance, we do not warrant that use of our services will ensure compliance with industry-specific regulations (HIPAA, PCI-DSS, FINRA, etc.) without proper configuration and implementation.
11. Limitation of Liability
11.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCP CHATS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use our services
- Any conduct or content of third parties on our services
- Unauthorized access, use, or alteration of your content or data
- AI agent errors, inaccuracies, or unintended outputs
- Integration failures or third-party service disruptions
- Security breaches or data loss
- Any other matter relating to our services
11.2 Liability Cap
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
11.3 Exceptions
Some jurisdictions do not allow exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
11.4 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control including acts of God, natural disasters, war, terrorism, riots, strikes, epidemics, pandemics, government actions, or internet service provider failures.
12. Indemnification
12.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless MCP Chats, its affiliates, officers, directors, employees, agents, and licensors from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of our services
- Violation of these Terms or applicable laws
- Infringement of third-party rights
- Content you provide or actions you take through our services
- Use of AI agents in violation of these Terms
- Violations of third-party platform policies
- Claims by your customers or end users related to your use of our services
12.2 Procedure
We will:
- Promptly notify you of any claim subject to indemnification
- Provide reasonable cooperation in defense
- Allow you to control the defense and settlement (subject to our approval for settlements affecting our rights)
13. Term and Termination
13.1 Term
These Terms begin when you accept them and continue until terminated as described herein.
13.2 Termination by You
You may terminate your account at any time by:
- Using account deletion features in your dashboard
- Contacting support at support@mcpchats.com
- Providing written notice to our legal department
Termination does not entitle you to refunds for prepaid subscription fees.
13.3 Termination by MCP Chats
We may suspend or terminate your account immediately if:
- You violate these Terms or our policies
- Your account is used for fraudulent or illegal activities
- You fail to pay fees when due (after notice and cure period)
- We are required to do so by law
- Continued provision of services creates security or legal risks
- You engage in abusive conduct toward our staff
- Your use threatens the stability or security of our platform
13.4 Effect of Termination
Upon termination:
- Your access to services will cease immediately
- Your data will be deleted according to our retention policies (typically within 90 days)
- You must immediately stop using our services and delete any downloaded materials
- Outstanding fees become immediately due and payable
- Provisions that by their nature should survive (liability limitations, indemnification, dispute resolution) will remain in effect
13.5 Data Export
You may export your data before termination using our export tools. After termination, we may delete your data and are not obligated to retain or provide it.
14. Modifications to Terms
14.1 Right to Modify
We may modify these Terms from time to time to reflect:
- Changes in our services or features
- New legal or regulatory requirements
- Industry best practices and security improvements
- Business model or pricing changes
14.2 Notice of Changes
For material changes:
- We will notify you via email at least 30 days before the effective date
- We will post a notice on our platform
- We will update the "Last Updated" date at the top of these Terms
- We will maintain an archive of previous versions upon request
14.3 Acceptance of Changes
By continuing to use our services after the effective date, you accept the modified Terms. If you do not agree with changes, you must terminate your account before the effective date.
15. Dispute Resolution
15.1 Informal Resolution
Before filing a formal dispute, you agree to contact us at legal@mcpchats.com to attempt informal resolution. We commit to working in good faith to resolve disputes amicably.
15.2 Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles. The courts of New Delhi, India shall have exclusive jurisdiction over any disputes arising from these Terms.
15.3 Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for disputes that qualify for small claims court or intellectual property disputes, all disputes arising from or relating to these Terms or our services shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996 of India.
The arbitration will be conducted:
- By a single arbitrator mutually agreed upon by the parties
- In English language
- In New Delhi, India or remotely via video conference
- With each party bearing their own costs (unless otherwise awarded by arbitrator)
15.4 Class Action Waiver
YOU AND MCP CHATS AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Claims must be brought individually.
15.5 Exceptions to Arbitration
The following disputes are exempt from arbitration:
- Claims eligible for small claims court
- Intellectual property disputes
- Requests for injunctive or equitable relief to prevent imminent harm
- Disputes involving amounts less than $10,000 (at claimant's option)
15.6 Opt-Out
You may opt out of arbitration by sending written notice to legal@mcpchats.com within 30 days of first accepting these Terms.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific services, constitute the entire agreement between you and MCP Chats.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.3 Waiver
Failure to enforce any provision does not constitute a waiver of that or any other provision. Waivers must be in writing to be effective.
16.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets with notice to you.
16.5 Relationship
These Terms do not create a partnership, joint venture, employment, or agency relationship between you and MCP Chats.
16.6 Third-Party Beneficiaries
These Terms do not confer any third-party beneficiary rights except as expressly stated.
16.7 Export Compliance
You agree to comply with all export and import laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or on any U.S. government list of prohibited or restricted parties.
16.8 Government Use
If you are a U.S. government entity, our software and services are "Commercial Items" as defined in FAR 2.101, and government rights are limited to those customarily provided to the public.
16.9 Notices
Notices to you may be sent to the email address associated with your account. Notices to us should be sent to:

These Terms are provided in English. Any translations are for convenience only, and the English version controls in case of conflicts.

- You accept the risks associated with automated processing and third-party integrations
